Terms of Service Agreement for Konstant Kreative Plans

Updated November 2025

By subscribing to any Konstant Kreative services (including Konstant Ads, Editing Talent Pool, Dedicated Editing Team, or any Konstant Chrome extension), you agree to the following Terms.

1. Acceptance of Terms

By creating an account, subscribing to a plan, starting a trial, or installing a Konstant Chrome extension, you confirm that you:

• are of legal age,
• have read and agree to these Terms and our Privacy Policy,
• authorize automatic billing according to your plan selection, including renewals.

2. Definitions

Terms such as “Creative Request,” “Variation,” “Active Request,” “Revision,” “Turnaround Time,” “Assets,” and “Copy” maintain the definitions established in Konstant onboarding documentation or prior agreements.

3. Scope of Service & Deliverables

Service scope varies by plan. Services may include:

• static ads
• AI-generated images
• AI-generated videos
• motion graphics
• creative briefs
• copywriting
• revisions
• templated creative
• strategic support (when added)

Turnaround times are estimates, not guarantees. No specific output quantity is guaranteed unless explicitly listed in your plan.

4. Chrome Extension Terms

By installing or using any Konstant Kreative Chrome extension, you agree to the following:

User-Initiated Capture

The extension only saves content when you intentionally click to do so. Konstant does not collect passive browsing data, passwords, analytics, or unrelated website content.

Responsibility for Imported Content

You are solely responsible for ensuring that any ads, images, text, videos, or creative assets you save:

• are lawful to collect, store, or analyze,
• do not infringe copyrights or trademarks,
• comply with privacy and intellectual-property laws.

Konstant is not liable for content you import via the extension.

Third-Party Platform Compliance

You may not use the extension to violate or circumvent the terms of service of Meta, TikTok, Google, or any advertising platform. This includes:

• automated scraping,
• bulk harvesting,
• bypassing restrictions,
• exporting data intended to remain on-platform.

No Affiliation

Konstant Kreative is not affiliated with Meta, TikTok, Google, or any platform whose ads you save. All trademarks belong to their respective owners.

Content Removal

Konstant may remove saved content that violates laws, platform rules, or poses legal risk.

Automatic Updates

The extension may update automatically. Continued use constitutes acceptance of updated Terms.

5. Licensed Assets

Konstant provides stock images, audio, and video with proper licensing. You are responsible for ensuring that all assets you submit are owned, licensed, or permitted for commercial use. Konstant is not liable for the legal use of client-provided materials.

6. Payment Terms

Payments are due at the beginning of each billing cycle. Late payments incur a $250 fee after 7 days and may pause your service. Pricing is locked at signup but may change with 30 days’ notice.

Free Trial Billing (3-Day & 7-Day Trials)

All free trials automatically convert into paid subscriptions at the end of the trial period unless canceled before renewal.

By starting a trial, you authorize Konstant to:

• store your payment method, and
• automatically charge it at the listed plan rate once the trial ends.

No refunds are issued for charges due to failure to cancel before renewal.

7. Cancellation Policy

Konstant Ads

Cancel anytime before the next renewal. No refunds after the renewal is processed.

Editing Talent Pool & Dedicated Editing Team

• You may cancel anytime during your first month.
• After the first month:
  • Monthly plans: 15 days’ notice
  • Quarterly/Half-year plans: 30 days’ notice
• No refunds once renewal is processed.

Refund Policy

Konstant does not offer refunds for:

• partially used billing periods,
• unused creative requests,
• unused or unclaimed outputs,
• AI-generated content not downloaded or used,
• any unused time in the plan.

All sales are final once a billing cycle begins.

8. Pause Policy

You may pause your plan before the next billing date. A pause:

• preserves remaining service days for up to 12 months,
• incurs a 50% reduced holding fee,
• is an alternative to providing cancellation notice.

9. Fair Use Policy

Usage must align with your selected plan. Konstant may throttle, delay, or recommend an upgrade if usage exceeds reasonable expectations or impacts service capacity.

10. AI-Powered Features

Plans may include AI-powered creative features such as:

• image generation
• video generation
• UGC-style AI videos
• automated brief writing
• template-based creative

Output limits and capabilities may change over time. Quality of outputs are not guaranteed.

11. Credit System Terms (Konstant Ads Platform)

Credit Usage

Certain features within Konstant Ads require credits, including but not limited to:

• AI photoshoots
• AI static ads
• AI UGC videos
• Ad sets
• Brief generation
• Templates
• Future AI features

Each feature deducts a predetermined number of credits from your account.

No Ownership of Credits

Credits are a usage right, not a financial balance or stored-value currency. Credits have no cash value, are non-refundable, and do not rollover unless explicitly stated in your plan.

Credit Adjustments

Credit requirements for features may change at any time as technology, costs, and capabilities evolve.

Konstant reserves the unrestricted right to:

• change credit pricing,
• add new credit-based features,
• adjust credit consumption rates,
• introduce or retire credit types.

Notice of Changes

Material changes to credit pricing will be announced inside the platform or via email.

Continued use after any update constitutes acceptance.

Credit Expiration

Credits may expire at the end of each billing cycle unless stated otherwise in your plan.

Unused or expired credits are not refundable.

Fraud or Abuse

Konstant may suspend or revoke credits if used fraudulently, shared improperly, or abused in a way that impacts service stability.

12. Intellectual Property

All delivered work is considered “work made for hire” and is owned by the client upon delivery. Konstant retains a non-exclusive, perpetual right to showcase completed work in marketing or sales materials. To opt out, email CEO Jay Gamey at jay@konstantkreative.com.

13. Service Availability (Editing Services Only)

Editing services operate Monday–Friday (North America time zones) and observe major holidays including:

• New Year’s Day
• Good Friday
• Christmas Eve
• Christmas Day
• New Years Eve

Konstant Ads and AI features may operate on adjusted or extended schedules.

14. Plan Changes

Konstant reserves the right to modify plan features, pricing, or service availability with 30 days’ notice. Continued use after notice constitutes acceptance.

15. Limitation of Liability

Konstant’s total liability is limited to the amount you paid during the prior billing cycle. We are not liable for indirect, incidental, or consequential damages, including lost revenue or ad-performance outcomes.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. Any disputes will be handled exclusively in Delaware courts or arbitration venues, as applicable.

17. Support Response Time

Konstant will make commercially reasonable efforts to respond to support requests within 1 business day. More complex issues may require additional time.

18. Confidentiality

Konstant will not share or distribute confidential client information, unreleased product data, or private strategy details without explicit authorization.

19. Non-Solicitation

You agree not to solicit, hire, or directly contract any Konstant employee or contractor for 12 months after service termination without written approval.

20. Trial Terms

• Trials are limited to the scope offered at sign-up.
• Trials automatically convert to paid subscriptions unless canceled prior to renewal.
• Trials do not guarantee minimum creative output.
• No refunds after renewal.

21. Taxes

You are responsible for all applicable taxes (sales, use, VAT, etc.). Konstant does not remit taxes on your behalf unless legally required.

22. Indemnification

You agree to indemnify, defend, and hold harmless Konstant Kreative and its employees/contractors from all claims, damages, and legal fees arising from:

• content imported via the Chrome extension,
• violations of third-party platform rules,
• copyright or trademark infringement,
• misuse of the service.
